SHORT-FORM SOFTWARE LICENSE AGREEMENT
This Software License Agreement entered on November 22, 2021 (“Effective Date”)
BETWEEN: TOP ENTERTAINMENT COMPANY S.R.L duly incorporated under the laws of Costa Rica and having a registered office at Edificiouentecantos 2nd. Floor, San José, Costa Rica; hereinafter “the Licensor”,
OF THE FIRST PART
AND: Royal Entertainment B.V. registered address, Fransche Bloemweg 4, Willemstad, Curaçao hereinafter “Licensee”
OF THE SECOND PART
WHEREAS the Licensor has developed and is the owner of a proprietary poker game platform for conducting online poker operations herein referred to as the ‘TOP Poker Platform’; and
WHEREAS the Licensee shall license the TOP Poker Platform, on the following terms:
1. Platform Requirements
a) HTML5 poker client will work on all Windows and Android devices using Chrome browser and all iOS and MAC devices using Safari browsers. Other browsers could be used too but the HTML5 poker version might not be as good as on the recommended combinations of browser and OS.
b) Admin panel will work on all browsers but for best experience Licensee should use Desktop device. Mobile devices can use the admin panel too but due to the size of some report tables, admin users will not be able to see the whole table in a single screen view.
c) Affiliate panel will work on all browsers but for best experience Licensee should use Desktop device. Mobile devices can use the affiliate panel too but due to the size of some report tables, affiliate users will not be able to see the whole table in a single screen view.
2. License Fees and Payments
a) A one-time setup fee of €5000 for HTML5, Android, and Windows versions will be paid in advance.
b) Before the official launch, Licensee will select one of the following 5 monthly revenue share plans:
1. No Risk, 20% from the rake
2. Basic, 12% or 500 EUR, whichever is bigger for the month.
3. Standard, 9% or 2,500 EUR
4. Professional 6%, or 5,000 EUR
5. Platinum 3%, or 10,000 EUR
3. Service Contract and Additional Fees:
a) Standard customizations are included in the price of the setup fee, but in case that the Licensee requests additional games, big redesign or big features, the licensor will quote the feature/game and work on it only after the licensee approves it.
b) The service provided by the Licensor includes all subsequent version upgrades for the term of the contract.
c) Includes all Texas Hold’em, Omaha, Omaha5, Omaha6, Omaha hi/lo and 7 Card Stud bug corrections.
d) Server monthly hosting costs will be paid by Licensor, up until the point where current server power is no longer sufficient to sustain the number of players (likely but not inevitable, after point where Licensee has 2,000 – 3,000 players on ring tables at the same time)
e) Upgrades that come as Licensor work on improving the game will be provided to Licensee free of charge as long as the contract is active.
4. “As it is” Plan definition
a) By signing this agreement, Licensee is confirming that he has been testing the offered product and is aware of the current set of features, across applications. Though missing features are being added on weekly basis, on all the applications where improvement is possible, the current setup fee and the offer is based on currently existing set of features and Licensee understands that not all features that currently exist on windows app, are automatically present on newer applications like HTML5, etc. However, Licensor will work on adding the “difference” features to other apps, free of charge, as requested by Licensee, on Licensor’s own schedule and on best effort basis.
IN WITNESS WHEREOF, each of the undersigned Parties has caused this Agreement to be duly executed in its corporate name by one of its authorized representatives, all as of the date first set forth above.
